  1. 1

    Parties and engagement

    This Freelance Service Agreement is made on to be agreed between Morgan Creative (the "Freelancer") and Northwind Studio (the "Client") for the project set out below.

  2. 2

    Scope of work

    The Freelancer will carry out the following work for the project "Brand identity and marketing website": Design a full brand identity and a five-page marketing website, delivered as production-ready files the Client can hand to a developer.

    • Logo suite and one-page brand guidelines
    • Five-page website design in Figma
    • Exported production assets and handoff notes
  3. 3

    Timeline

    Work begins on to be agreed and the Freelancer will deliver the completed work by to be agreed. These dates assume the Client supplies feedback and materials on time.

  4. 4

    Fees

    The total fee for the work above is 5,000 USD, before any taxes that may apply. The fee covers the agreed scope only.

    Payment schedule

    A deposit of 50% (2,500 USD) is due before work begins. The remaining balance of 2,500 USD is due on delivery of the completed work. Invoices are payable within 14 days unless the invoice states otherwise.

    Expenses

    The Client reimburses reasonable expenses that the Freelancer agrees with the Client in writing before spending, such as stock assets, fonts, or third-party services bought for the project. These are invoiced at cost with receipts.

  7. 7

    Revisions

    The fee includes 2 round(s) of revisions on the delivered work. Further revisions are billed at the Freelancer's standard rate and agreed in writing first.

  8. 8

    Late payment

    Invoices not paid by their due date carry a late fee of 2% per month on the outstanding amount. The Freelancer may pause work until overdue invoices are cleared.

  9. 9

    Ownership and intellectual property

    Ownership of the final delivered work transfers to the Client once the fee is paid in full. Until then the work stays the property of the Freelancer, who may show the finished work in a portfolio unless the Client asks otherwise in writing.

  10. 10

    Confidentiality

    Both parties keep each other's private business information confidential and use it only to complete this project. This continues after the project ends.

  11. 11

    Independent contractor

    The Freelancer is an independent contractor, not an employee of the Client. The Freelancer covers their own taxes, insurance, and equipment, and decides how and when the work is done.

  12. 12

    Non-solicitation

    For 12 months after this project ends, neither party will hire or take on the other's staff or clients that they first met through this project, unless the other party agrees in writing.

  13. 13

    Cancellation

    If the Client cancels after work has started, a cancellation fee of 25% of the total fee is due, plus payment for any work completed up to that point. Deposits are non-refundable.

  14. 14

    Termination for convenience

    Either party may end this Agreement for any reason with 14 days' written notice. The Client pays for all work completed up to the end of the notice period, and the Freelancer hands over that work.

  15. 15

    Limit of liability

    Each party's total liability under this Agreement is limited to the total fees paid for the project. Neither party is liable for indirect or knock-on losses, such as lost profit or lost data.

  16. 16

    Force majeure

    Neither party is responsible for delays caused by events outside its reasonable control, such as serious illness, natural disasters, or the loss of essential services. The affected party tells the other as soon as it can, and deadlines move by the length of the delay.

  17. 17

    Dispute resolution

    If a disagreement comes up, both parties first try to settle it in good faith through direct discussion for at least 30 days. Anything they cannot resolve that way falls under the governing law and courts named below.

  18. 18

    Governing law

    This Agreement is governed by the laws of United Arab Emirates. Any dispute the parties cannot resolve between themselves will be handled by the competent courts of United Arab Emirates.
